These Website Terms and Conditions (“Website Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and UNIPIN (“we,” “us” or “our”), concerning your access to and use of the website located at www.unipin.com (“Website”), together with any mobile website, mobile application, web portal, media channel, or other platform related, linked, or otherwise connected to the Website and made available by UniPin or its aƯiliates from time to time (collectively, the “Platform”).

The UniPin entity responsible for your transaction will be identified at checkout, on the order confirmation, receipt or other transaction record.

You agree that by accessing or using the Platform, you have read, understood, and agree to be bound by all of these Website Terms. Use of the Platform is also governed by the Privacy Policy, any applicable Cookie Policy, Cookie Notice or cookie preference mechanism, and any product-specific privacy notices or disclosures made available by UniPin from time to time. If you do not agree to these Website Terms, please do not access or use the Platform, any UniPin Products or any pages thereof.

For the purposes of these Website Terms, “UniPin Products” refers to UniPin Credits, UniPin Voucher, UP Points, digital game top-ups, digital credits, soft pin vouchers, game vouchers and any other digital products or services made available by UniPin or its affiliates from time to time through the Platform. The purchase, redemption and use of UniPin Products shall also be subject to the applicable User Terms and Conditions and any product-specific terms made available at the point of purchase or redemption.

For the purposes of these Website Terms, “UniPin”, “we”, “our” or “us” refers to UniPay Holdings Pte. Ltd., and its subsidiaries and/or affiliates, including but not limited to PT Dua Puluh Empat Jam Online, Asia Digital Pte. Ltd., UniPin (Labuan) Limited, UniPin Phils. Inc., UniPin (M) Sdn. Bhd., UniPin (Thailand) Limited, UniPin (India) Private Limited, UniPay Sdn. Bhd., UniPin USA Limited, Universalpin Dijital Teknolojiler Anonim Şirketi, Mobile Art Sdn. Bhd., as applicable. The term “you” refers to the user or viewer of the Platform and/or purchaser of UniPin Products.

Any new features, upgrades, variations or new packages which are added to this Platform shall also be subject to these Website Terms. UniPin reserves the right to vary, modify, delete, update or suspend these Website Terms, or any part thereof, without prior notice to you, to the extent permitted by applicable law. As such, you understand and acknowledge that it is your duty to review these Website Terms on a regular basis. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Website Terms by your continued use of the Platform after the date such revised Website Terms are posted.

The information provided on the Platform is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

The availability of UniPin Products may differ by country, publisher, payment method, age rating, tax treatment, sanctions restrictions and regulatory requirements. Nothing in these Website Terms excludes, restricts or limits any mandatory consumer protection, privacy, data protection, online safety, payment services, unfair contract terms or digital content rights that cannot lawfully be excluded under the laws applicable to you in your country of residence.

Our Platform may be displayed in various languages for the purposes of enhancing user experience and interaction. Save as otherwise expressly stated, the use and display of any particular language or translation are purely to enhance user experience and shall not by itself be interpreted as UniPin specifically targeting, offering, or operating specifically in any particular country or jurisdiction. UniPin operates on the world wide web and caters to the language needs of its users internationally.

Where we provide translated versions of these Website Terms, the translated version is provided for convenience and user accessibility. If a mandatory local law requires a local-language version to prevail for consumers in that jurisdiction, the mandatory local-law requirement will apply. Otherwise, the English version will prevail to the extent of any inconsistency.

Accordingly, those persons who choose to access the Platform from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

These Website Terms apply to your use of the Platform. The Platform, including www.unipin.com is developed and maintained by MOBILE ARTS SDN. BHD. for UniPin and/ or its subsidiaries/ affiliates. The relevant UniPin entity processing or fulfilling a transaction shall be the seller or service provider for the applicable UniPin Products, unless otherwise stated at checkout, order confirmation or receipt. You acknowledge that you have read, understood and agree to be legally bound by these Website Terms.

GENERAL REQUIREMENTS FOR USE OF THE PLATFORM

1. Age. The Platform is intended for those who are at least aged 18 years or older, or equivalent minimum age in the relevant jurisdiction, unless you access or use the Platform with the consent and supervision of your parent or legal guardian.

The Platform is intended for users aged 18 or above, unless a lower age is expressly permitted by applicable law and the user has valid consent and supervision from a parent or legal guardian. Where the Platform is likely to be accessed by children, UniPin may apply age assurance, parental consent, default privacy protections, content moderation, spending limits, product restrictions and other safeguards required by applicable laws, including UK children’s privacy and online safety requirements where applicable.

2. To use the Platform, you cannot be a person barred from receiving the Platform under the laws of any relevant applicable jurisdictions, including the country in which you reside or from where you use the Platform.

You must not access, purchase, redeem, resell or use UniPin Products where doing so would breach applicable sanctions, export control, trade restriction, anti-money laundering, anti-bribery, anti-corruption, counter-terrorist financing or payment network rules. UniPin may refuse, suspend, cancel, delay, reverse or restrict transactions and accounts for legal, compliance, fraud, risk, chargeback or regulatory reasons.

3. Account. When you access our Platform, you may be required to register an account (“Account”). By registering for an Account or by using our Platform in any capacity, you represent that you are at least 18 years old (or equivalent minimum age in the relevant jurisdiction) and you understand and agree to these Website Terms. If you are under the age of 18, or equivalent minimum age in the relevant jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Website Terms. If you access our Platform through a third party platform, you are obligated to comply with their terms and conditions in addition to our Website Terms.

When you register for an Account or update your information, you agree to provide us with accurate information and keep it up-to-date at all times. You may never allow anyone else to use your Account, except your parent or legal guardian, where applicable. If you have reason to believe that your Account is no longer secure, then you must immediately notify us at [email protected]. UniPin may require additional verification, multi-factor authentication, password reset, session revocation, account recovery checks, or other security measures where we reasonably believe this is necessary to protect your Account, the Platform, other users, payment partners, publishers, or UniPin. You are responsible for all activities that occur in your Account, whether or not you know about them, except to the extent caused by UniPin’s fault or where otherwise required by applicable law.

UniPin may contact users via email, in-platform notices, SMS, push notifications, telephone or other available contact methods regarding account security, suspicious activity, fraud prevention, data breaches, legal, product, or transaction-related matters, where permitted or required by applicable law.

4. Restrictions. When you access or use our Platform, you agree not to:

1. upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Platform or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Platform;
2. modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the Platform;
3. use the Platform to upload, submit, transmit, post or otherwise make available any content, information or material that is unlawful, obscene, defamatory, abusive, harmful, damaging, disruptive, inappropriate, offensive, inaccurate, pornographic, vulgar, indecent, profane, hateful, racially or ethnically offensive, lewd, lascivious, filthy, threatening, excessively violent, harassing or otherwise objectionable;
4. access, tamper with or use other UniPin users’ accounts;
5. conduct unauthorised monitoring of data or traffic on the Platform, probe, scan or test the vulnerability of any Platform system or network, breach any security or authentication measures; or circumvent any technological measures that protect the Platform.
6. Security research, vulnerability testing, penetration testing, scanning, probing or similar activity is not authorised unless conducted with UniPin’s prior written permission or in accordance with any Vulnerability Disclosure Policy made available by UniPin from time to time.

You must not use the Platform or UniPin Products for fraud, money laundering, terrorist financing, sanctions evasion, account takeover, credential stuffing, bot activity, scraping, cyber intrusion, chargeback abuse, resale outside authorised channels, circumvention of publisher terms, purchase of age-restricted or prohibited products, or any activity that may expose UniPin, its users, publishers, payment partners or affiliates to regulatory, reputational, financial or security risk.

You may not access or use the Platform or UniPin Products if you are located in, ordinarily resident in, organised under the laws of, or acting on behalf of any country, territory, person or entity subject to applicable sanctions or trade restrictions, or if your use would cause UniPin to breach applicable sanctions, export control, anti-money laundering, anti-bribery or anti-corruption or other legal or regulatory requirements. UniPin may refuse, suspend, cancel, delay or reverse transactions, restrict accounts, or terminate access where required for compliance, risk management, fraud prevention or regulatory reasons.

You acknowledge that we have the right to monitor your access to and use of the Platform to ensure your compliance with these Website Terms, or to comply with applicable law or the order or requirement of a court or other governmental body. However, we do not undertake to do so and you shall be responsible for your own actions in accessing and using the Platform.

INTELLECTUAL PROPERTY RIGHTS

If you submit feedback, reviews, comments, support communications, images, trademarks or other materials to UniPin, you grant UniPin and its affiliates a worldwide, royalty-free, non-exclusive licence to use such materials solely for operating, improving, supporting, protecting and promoting the Platform and UniPin Products, subject to applicable privacy and data protection laws.

Unless otherwise indicated, the Platform is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.

The Content and the Marks are provided on the Platform “AS IS” for your information and personal use only. Except as expressly provided in these Website Terms, no part of the Platform and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Provided that you are eligible to use the Platform, you are granted a limited license to access and use the Platform for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Platform, the Content and the Marks.

LINKS TO THIRD-PARTY WEBSITES

Platform may contain, or you may be sent via the Platform, links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content").

Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Platform or any ThirdParty Content posted on, available through, or installed from the Platform, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content.

Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Platform and access the Third-Party Websites, or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Website Terms no longer govern.

You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Platform or relating to any applications you use or install from the Platform. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases, which are exclusively between you and the applicable third party.

You agree and acknowledge that we do not endorse products or services offered on Third-Party Websites. To the fullest extent permitted by applicable law, you shall hold us harmless from any losses, damages or harm arising from your access to, use of, or purchase of products or services through Third-Party Websites, or from your reliance on any Third-Party Content.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE CONTENT, INFORMATION, LINKS, FUNCTIONALITY OF THIS PLATFORM AND ANY UNIPIN PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES (AND OUR AND THEIR RESPECTIVE EMPLOYEES, DIRECTORS, AGENTS AND REPRESENTATIVES), PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF NON INFRINGEMENT OF THIRD PARTY RIGHTS, TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND FREEDOM FROM COMPUTER VIRUS OR OTHER HARMFUL COMPONENTS. UNIPIN DOES NOT REPRESENT OR GUARANTEE THAT THE UNIPIN PRODUCTS OR PLATFORM WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND UNIPIN DISCLAIMS ANY LIABILITY RELATING THERETO TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

You acknowledge that such information and materials may contain inaccuracies or errors, and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.

Your use of any information, material, or UniPin Products on this Platform is entirely at your own discretion and risk, for which we shall not be liable to the fullest extent permitted by applicable law. It shall be your own responsibility to ensure that any UniPin Products, or information available through this Platform meet your specific requirements. You will be solely responsible for any damage to your device, computer, or loss of data that results from the use of the UniPin Products and/or Platform, except to the extent caused by UniPin’s fault or where otherwise required by applicable law.

INDEMNIFICATION

You agree to indemnify, defend and hold UniPin, its affiliates, and their respective officers, directors, employees, agents, licensors, representatives, partners, and third party providers harmless from and against any and all claims, demands, losses, expenses, damages and costs, including but not limited to attorneys’ fees, relating to or arising from: (i) your access to or use of the Platform and/ or UniPin Products; (ii) your violation of these Website Terms; (iii) your violation of any applicable law or regulation; (iv) your violation of any rights of another person or entity; or (v) any misuse of your Account, except to the extent such claim, demand, loss, expense, damage or cost is caused by UniPin’s fault or where otherwise prohibited by applicable law.

This indemnity provision applies to all violations described in or contemplated by these Website Terms. This obligation shall survive the termination or expiration of these Website Terms and/or your use of UniPin Products. You acknowledge that you are responsible for all use of UniPin Products using your Account, and that these Website Terms apply to any and all usage of your Account. You agree to comply with these Website Terms and to defend, indemnify and hold UniPin harmless from and against any and all claims and demands arising from usage of your Account, whether or not such usage is expressly authorised by you, except to the extent caused by UniPin’s fault or where otherwise required by applicable law.

GOVERNING LAW & JURISDICTION

Regardless of where you access or attempt to access the Platform and/or UniPin Products, these Website Terms, your access to and use of the Platform, and any dispute arising out of or in connection with these Website Terms, the Platform, the Content or UniPin Products shall be governed by and construed in accordance with the laws of Malaysia without regard to its conflicts-of-law principles. You and UniPin agree to submit to the exclusive jurisdiction of the courts of Malaysia. Nothing in these Website Terms limits any mandatory consumer protection, privacy, data protection or other statutory rights that cannot be excluded under applicable law.
